According to Section 474 of New Hong Kong Company Ordinance (Cap. 622)
Company required to have company secretary

  1. A company must have a company secretary.
  2. With effect from the date of incorporation of a company, the first company secretary of the  company is the person named as the company secretary in the incorporation form delivered to the Registrar under section 67(1).
  3. If the name of a firm is specified in the incorporation form under section 5(1)(c) of Schedule 2, all partners of the firm as at the date of the incorporation form are the first joint company secretaries of the company.
  4. A company secretary of a company must—
    (a) if a natural person, ordinarily reside in Hong Kong; and
    (b) if a body corporate, have its registered office or a place of business in Hong Kong.
  5. Anything required or authorized to be done by or to the company secretary may be done—
    (a) if the office is vacant or there is for any other reason no company secretary capable of acting, by or to any assistant or deputy company secretary; or
    (b) if there is no assistant or deputy company secretary capable of acting, by or to any officer of the company authorized generally or specially in that behalf by the directors.

  • Declaration of relevant organisation structure, changes of shareholders and directors to the Companies Registry
  • Contemplation of the agenda of company meetings for Board of Directors, preparation of annual general meetings of shareholders
  • Provision of professional advisory service and advice on relevant statutory ordinances.

Designated Representative Service

Form 1 March 2018, a Hong Kong incorporated company must:
I. designate at least one person as its representative to provide assistance relating to the company's Significant Controllers Register to a law enforcement officer.
II. appoint one of the following person as company's Designated Representative-
• A member, director or an employee of the company who is a natural person resident in Hong Kong, or
• A HK qualified accounting professional, a HK qualified legal professional or a "Trust or Company Service Provider Licensee (TCSP)"
